TERMS AND CONDITIONS OF EMPLOYMENT

1  General

1.1 This Agreement sets out the terms on which you are employed by the Employer, and is given to you in accordance with the terms of the Employment Rights Act 1996.

2  Continuous Employment

2.1  Your period of continuous employment with the Employer begins on the date your registration is completed.

2.2  No employment with a previous employer counts as part of your period of continuous employment.

2.3  In accepting your appointment it shall be deemed that you have accepted all the terms and conditions set out in this Agreement.

3  Place of Work

3.1 Your normal place of work will be at the premises of any client to whom your services are provided by the Employer (a "Client") or any other location where the Employer may require you to work from time to time.

4  Collective Agreements

4.1 There are no collective agreements relevant to your employment.

5  Job title/duties

5.1  You are employed to work on such projects and for such periods as the Employer may from time to time require. In the event that there are additional terms and conditions, which apply to your work on a particular contract, the Employer will notify you by way of a separate letter. Any such additional terms and conditions will form part of your contract of employment whilst you are employed to work on the particular project, or until further notification from the Employer. Where applicable, you are required to inform the Employer as soon as it becomes apparent to you that you have worked on a particular project for more than 6 months.

5.2  At all times, you must refrain from:

5.2.1  engaging in any conduct detrimental to the interests of a Client, which includes any conduct tending to bring a Client into disrepute; or

5.2.2  committing a breach of, or failing to comply with, any statutory obligation or code of practice applicable to you, or to the work you are undertaking; or

5.2.3  committing a breach of, or failing to comply with, any rules or obligations in force at a Client's premises where services are performed

5.2.4  In the event of a breach of clause 5.2 above, a Client shall be entitled at its discretion to caution you or require you to leave its premises immediately and in any event, shall report the breach to the Employer. Any such breach will be regarded by the Employer as a disciplinary offence, and will be dealt with accordingly.

6  Remuneration

6.1  Unless otherwise stated in this Agreement, you will be paid only for hours worked. Your rate of pay will be notified to you from time to time in respect of each project which you carry out for a Client. The Employer has the right to vary the rates of pay applied in respect of each project.

6.2  Payment of sums due to you under clause 6.1 above will be made weekly in arrears by credit transfer subject to deduction of income tax and national insurance in respect of work done in the preceding week.

7  Hours of work

7.1  Your hours of work will vary according to the workload of the Employer's business. It is a condition of your employment that you work flexibly in accordance with the working arrangements the Employer operates. Accordingly, you acknowledge that there may be periods when no work is available and that the Employer has no obligation to provide you with any work or to provide any minimum number of hours in any day or week. However, the Employer will endeavour to allocate suitable work to you when it is available.

7.2  You will devote the whole of your time attention and abilities to the work the Employer allocates to you from time to time.

7.3  You shall be available to work when requested unless otherwise agreed in advance with the Employer. You will notify the Employer as early as possible and normally not less than 24 hours in advance of any occasions when you will be unavailable for work.

7.4  In certain circumstances it may be necessary to exceed the limits on hours imposed by the Working Time Regulations 1998 (hereafter the “Regulations”), in order to ensure that your duties are properly performed. By signing these terms, you agree to exclude your right to limit your working week to 48 hours a week on average under the Regulations, subject to your right to revoke this election on 3 months' prior written notice.

8  Absence from work

8.1  In the event of your absence for whatever reason you or someone on your behalf should contact the Employer on 0870 6067733 as soon as possible before your normal starting time on the first day of the absence to inform it of the reason for your absence.

8.2  If the absence is due to sickness, and lasts for up to 7 days (including weekends) a self-certification form must be completed and sent to the Employer as soon as possible.

8.3  In respect of absences lasting 7 days or longer, a medical certificate signed by your doctor stating the reason for absence must be sent to the Employer's administrators, Nova Corporate Services. Further medical certificates should be sent thereafter as required, to ensure that the entire period of absence is duly covered by such certificates.

9  Holidays

9.1  You will be entitled to 20 days annual holiday (inclusive of public holidays) rising to 24 days' annual holiday in October 2007 to be taken at times convenient to you and authorised in writing by the Employer. You should submit any request for holiday by completing and returning a Holiday Request Form not less than 14 days in advance.

9.2  The holiday year is the calendar year from 1 January to 31 December. You will not be permitted to carry over unused holiday entitlement into a following year.

9.3  You will not receive any additional pay in respect of your holiday entitlement. You will not be paid in lieu for accrued or unused holiday entitlement, which exceeds your entitlement under the Working Time Regulations on the termination of your employment. No deductions will be made for any holiday taken in excess of your accrued entitlement on the termination of your employment.

10  Pensions

The Employer operates a Stakeholder Pension scheme in which you are entitled to participate if you so wish. Full details of the scheme can be provided on request.

11  Termination of Employment

11.1  The notice required to be given by you to terminate your employment will be one week's notice.

11.2  The notice required to be given by the Employer to terminate your employment will be one week's notice if you have been continuously employed for less than 2 years; and thereafter one week's notice for each completed year of employment up to a maximum of 12 weeks notice.

11.3  The Employer reserves the right to terminate your employment without notice if you fail to attend work on 4 or more successive occasions or otherwise commit any act of gross misconduct or other serious breach of these terms and conditions of employment.

12  Confidentiality

You hereby undertake to keep secret and treat as confidential all of the confidential information and trade secrets of the Employer, any agency or third party or a Client with whom you have contact in the course of your employment, save as necessary for the proper performance of your duties.

13  Normal retirement date

Your employment will automatically end and you will retire at the end of the month in which you reach the age of 65.

14  Grievance procedures

There are no formal grievance procedures in relation to your employment but if you have any question or grievance you should write to the Employer. Any grievance will be dealt with by the board of directors of the Employer.

15  Change in circumstance

It is your responsibility to ensure that the Employer has your up to date personal details, and to keep the Employer informed of any changes.
